Succession

Your life's work in good hands

Handing over a company takes both strategic skill and a sensitive touch. Whether you already have a successor in mind or are still looking, our expertise in business succession ensures that your company's vision lives on. We help you shape a smooth transition that preserves your company's values and traditions while leaving room for future growth.

Why now

Hard to manage alone, standard within the group

The demands on network and security technicians are rising faster than a single company can grow.

What the market now demands

  • 24/7 monitoring and NIS-2 reporting chains
  • Certifications and solid compliance evidence
  • Network and security technology integrated, not as separate services
  • Reliability without key-person risk, even during holidays and outages

What the group delivers

  • A group-wide network operations centre instead of your own night shifts
  • Shared KRITIS and NIS-2 expertise and joint evidence
  • Central recruiting and training against the skills shortage
  • Tender strength: one partner, one policy, one SLA

About working together

We typically hold a majority stake of 51–100% in companies. The investment model is tailored to your specific needs and aligned with our shared goals.
We are looking for established companies with strong regional roots and revenue in the range of 2–10 million EUR that operate in the fields of network technology and security technology. We focus in particular on customers from the industrial sector and sectors subject to NIS 2 regulations. Services for residential customers are not a focus of Habanero. We also exclude investments in companies in special situations.
Typically, the transaction process proceeds as follows: 1. Initial meeting: Getting to know each other and aligning interests to explore a potential partnership. 2. Business valuation: Conducting a comprehensive valuation of your company to determine its financial value. 3. Letter of Intent (LOI): Setting out the key terms of the transaction in a non-binding Letter of Intent. 4. Due Diligence: A detailed review of your company to identify legal, financial, and operational risks. ‍5. Contract Negotiations: Drafting and negotiating the final terms of the agreement. 6. Signing: Finalizing and signing the agreements by all parties. 7. Closing: Completing the transaction and transferring the shares.
We would like to continue running your company successfully and grow it further. As we embark on this journey together, a collaborative partnership is essential. Once we have acquired a stake in your company, we aim to specifically lighten your workload and give you the freedom to focus on the areas of the business that you prefer. If, on the other hand, you are in a succession situation, we will work with you to find a suitable successor.
